01 Agreement & Eligibility

These Terms form a binding agreement between you (“you” or “Customer”) and NetKonnekt LLC, a limited liability company with its principal place of business in Miami, Florida (“NetKonnekt,” “we,” “us”).

• You must be at least 18 years old and able to form a legally binding contract.
• If you accept these Terms on behalf of a company, you represent that you are authorised to bind that organisation.
• You agree to provide accurate, current and complete information when ordering or registering.
• These Terms apply alongside our Privacy Policy, which is incorporated by reference.

Where you and NetKonnekt have signed a separate written agreement, master purchase agreement or quotation covering the same subject matter, that agreement controls to the extent of any conflict.

02 Orders & Order Acceptance

An order placed through this website is an offer to purchase, not a completed contract. No order is binding on NetKonnekt until we issue a written order confirmation or ship the products.

• We may decline or cancel any order — including after a confirmation email — for reasons such as stock unavailability, suspected fraud, resale restrictions, or errors in price or product information.
• Quantity limits apply. Certain products are limited per online order (for example, the NK R700 is limited to two units per order). For larger volumes, please contact our sales team for a quotation.
• Product images, specifications and datasheets are provided for guidance. Specifications are subject to change without notice and performance figures are typical or module-rated values that vary by network, carrier and site conditions.
• Orders placed for resale, export or drop-shipment may require prior written approval.

03 Pricing, Taxes & Payment

• All prices are stated in US Dollars (USD) and are exclusive of applicable sales tax, duties and shipping charges unless expressly stated otherwise.
• Sales tax is calculated at checkout based on your shipping address, in jurisdictions where NetKonnekt is registered to collect it. Where tax is not collected by us, you may remain responsible for self-assessed use tax.
• Payment must be received in full before products are dispatched, unless written credit terms have been agreed in advance.
• Where invoiced credit terms apply, payment is due net 30 days from the invoice date, and overdue balances may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
• You are responsible for any bank, card or currency-conversion fees charged by your payment provider.
• Prices are subject to change at any time; the price applicable to your order is the price displayed at the time we accept it.

04 Shipping, Delivery, Title & Risk

• Shipping charges are calculated at checkout. Delivery estimates are estimates only and are not guaranteed dates.
• Title and risk of loss pass to you upon delivery of the products to the carrier. Any claim for loss or damage in transit lies against the carrier, though we will reasonably assist.
• You must inspect all shipments on arrival and notify us of shortages, visible damage or non-conforming products within five (5) business days of delivery. After that period, products are deemed accepted.
• We are not liable for delays caused by carriers, customs, incorrect or incomplete addresses, or events beyond our reasonable control.
• For international shipments, you are the importer of record and are responsible for all duties, import taxes, customs clearance and compliance with local regulations, including any radio-equipment approvals.

05 Returns, Cancellations & RMA

All returns require a Return Merchandise Authorization (RMA) number issued by NetKonnekt in advance. Products returned without a valid RMA number may be refused or returned at your expense.

• Change-of-mind returns: may be requested within 30 days of delivery, provided the product is unused, in its original packaging, and complete with all accessories and documentation. A restocking fee of up to 15% may apply, and outbound and return shipping costs are non-refundable.
• Dead on arrival (DOA): report suspected DOA units within 14 days of delivery. Where confirmed as DOA, NetKonnekt covers shipping in both directions.
• Warranty returns: once an RMA is issued, the unit must be shipped back within 14 calendar days or the authorisation expires. You bear the cost of shipping the unit to us; we bear the cost of returning the repaired or replacement unit, excluding duties and taxes.
• Non-returnable: activated SIM cards, opened software or licence keys, subscription services already provisioned, custom-configured or special-order items, and products damaged by inadequate return packaging.
• Refunds are issued to the original payment method once the returned product has been received and inspected.

06 Hardware Warranty

NetKonnekt warrants that its hardware products will be free from defects in materials and workmanship under normal use for a period of twelve (12) months from the date of shipment, unless a different period is stated on your quotation, invoice or the product datasheet.

Your sole and exclusive remedy under this warranty is, at NetKonnekt’s option, repair, replacement, or refund of the purchase price of the affected product. Replacement units may be new or refurbished to a condition equivalent to new.

This warranty does not cover:

• Damage from misuse, abuse, accident, liquid ingress, power surge, lightning, or operation outside published environmental or electrical specifications.
• Unauthorised repair, modification, disassembly, or firmware not supplied or approved by NetKonnekt.
• Products with removed, altered or defaced serial numbers or labels.
• Normal wear, cosmetic damage, consumables, antennas, cables and accessories beyond any separately stated period.
• Faults caused by third-party equipment, carrier network performance, SIM provisioning, or site-specific radio conditions.
• Installation, on-site service, or cost of removal and reinstallation.

Warranty service is available to the original purchaser and is not transferable unless agreed in writing. Products purchased through a reseller should be serviced through that reseller.

07 Software, Firmware & NK Cloud DMS

• Software and firmware embedded in or supplied with our products are licensed, not sold. You receive a non-exclusive, non-transferable licence to use them in object-code form solely with the NetKonnekt hardware on which they are supplied.
• You may not reverse-engineer, decompile, sublicense, rent or redistribute our software except to the extent such restriction is prohibited by law.
• Products may download and install firmware or security updates automatically. Continued use of a product constitutes acceptance of those updates.
• NK Cloud DMS and other hosted services are provided on a subscription basis and may be governed by additional service terms. Subscriptions renew and may be suspended or terminated for non-payment.
• We do not warrant that hosted services will be uninterrupted or error-free, and we may perform scheduled maintenance or modify features over time.
• Products may include third-party or open-source components licensed under their own terms, which prevail for those components.

08 Cellular Service, SIM & Activation

• You are responsible for obtaining and paying for your own SIM cards, eSIM profiles, data plans and carrier agreements.
• Network availability, throughput, latency and band support depend on your carrier, location, spectrum licensing and site conditions. Advertised speeds are theoretical maximums and are not guaranteed.
• Carrier certification and device compatibility vary by operator. Confirm compatibility with your carrier before purchasing.
• Use of shared or licensed spectrum, including Private Carrier Networks (Band n78/n48/B48), may require separate authorisation, SAS registration or a licence in your jurisdiction. Obtaining these is your responsibility.
• We are not responsible for carrier outages, deprovisioning, throttling, roaming charges or changes to network technology such as the sunset of legacy bands.

09 Regulatory Compliance & Acceptable Use

• Products must be installed and operated in accordance with applicable radio regulations, including FCC rules in the United States and equivalent authorities elsewhere.
• Certification status varies by product and region and may be pending for some models. It is your responsibility to confirm that a product is approved for use in your country before deployment.
• You must not modify the product’s radio parameters, transmit power, or substitute antennas in a manner that breaches its regulatory approval.
• You agree not to use our products or services to transmit unlawful content, infringe third-party rights, gain unauthorised access to networks, or interfere with licensed radio services.
• Our products are not designed or certified for life-support, aviation, nuclear, or other safety-critical applications where failure could result in death, injury or severe environmental damage.

10 Export Control & Sanctions

Our products, software and technical data are subject to US export control laws, including the Export Administration Regulations (EAR), and to economic sanctions administered by the US Treasury’s Office of Foreign Assets Control (OFAC).

• You agree not to export, re-export, transfer or divert any product to a prohibited country, entity or individual, or for any prohibited end use, without required authorisation.
• You represent that you are not located in, or a national of, an embargoed jurisdiction and are not on any restricted-party or denied-persons list.
• You will indemnify NetKonnekt against any loss arising from your breach of export control or sanctions obligations.

11 Intellectual Property

All intellectual property in our products, software, documentation, designs, trademarks and website content remains the property of NetKonnekt or its licensors. Nothing in these Terms transfers ownership of any intellectual property to you.

• The NetKonnekt name, logo and product names are trademarks of NetKonnekt LLC and may not be used without prior written permission.
• Website content may be viewed and printed for your own internal, non-commercial reference. Any other reproduction, republication or commercial use is prohibited.
• You may not remove or obscure any proprietary notices on products, packaging or software.

12 Website Use & Accounts

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree not to scrape, probe, overload or attempt to gain unauthorised access to this website or any connected system.
• We may suspend or terminate access where we reasonably believe these Terms have been breached.
• Our website may link to third-party sites. We do not control and are not responsible for third-party content or practices.
• We aim to keep the website available but do not guarantee uninterrupted access, and may modify or discontinue features at any time.

13 Disclaimer of Warranties

Except for the express hardware warranty stated in section 6, the website, products and services are provided “as is” and “as available”. To the maximum extent permitted by law, NetKonnekt disclaims all other warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that products or services will meet your requirements, achieve any particular throughput, or operate without interruption. Some jurisdictions do not allow the exclusion of certain implied warranties, so parts of this section may not apply to you.

14 Limitation of Liability

To the maximum extent permitted by law, NetKonnekt shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, business interruption, or cost of substitute goods or services, arising out of or relating to these Terms, the products, or the services — even if advised of the possibility of such damages.

NetKonnekt’s total aggregate liability arising out of or relating to these Terms shall not exceed the amount actually paid by you for the specific product or service giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

15 Indemnification

You agree to indemnify, defend and hold harmless NetKonnekt LLC, its officers, directors, employees and suppliers from any claims, damages, liabilities, costs and reasonable legal fees arising out of:

• Your breach of these Terms or of any applicable law or regulation.
• Your use, installation, resale or export of the products.
• Content or data you transmit through our products or services.
• Your infringement of any third-party intellectual property or privacy right.

16 Force Majeure

NetKonnekt is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, epidemic, labour disputes, carrier or utility failure, cyber-attack, government action, and shortages or disruption in semiconductor or component supply chains. Affected obligations are suspended for the duration of the event.

17 Governing Law & Disputes

• These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles.
• The parties submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
• The UN Convention on Contracts for the International Sale of Goods does not apply.
• Before commencing proceedings, the parties agree to attempt in good faith to resolve any dispute by contacting one another directly.
• Any claim must be brought within one (1) year after the cause of action arises, to the extent permitted by law.
• If any provision of these Terms is held unenforceable, the remaining provisions continue in full force. A failure to enforce any right is not a waiver of it.

18 Changes to These Terms

We may update these Terms from time to time. The revised version takes effect when posted to this page, and the “Last Updated” date above will change. Your continued use of the website or purchase of our products after that date constitutes acceptance of the revised Terms. The Terms in effect at the time we accept your order govern that order.
